NioCorp formalizes executive compensation program with first AIP payouts as Elk Creek Project advances.
NioCorp adopted a Company-wide annual incentive program (AIP) on July 2, 2026, establishing the first formalized performance-based cash bonus structure for all full-time employees and named executive officers. Fiscal 2026 AIP payouts totaling approximately $1.3 million were approved for three named executives (CEO $602,784, CFO $345,621, COO $378,197), with awards weighted 45% to project development and execution milestones, 10% to safety performance, and 45% to individual objectives. The Compensation Committee, advised by independent consultant Semler Brossy, designed the AIP to align workforce interests with long-term shareholder value as the company advances construction and commercial operation of its Elk Creek Project.

NB 10-K Item 1 · Sep 11, 2025NioCorp Developments is a pre-revenue development-stage critical minerals company advancing the Elk Creek Project in southeast Nebraska, a carbonatite deposit intended to produce niobium, scandium, titanium, and potentially rare earth elements. The company has completed a feasibility study and holds required state and county construction permits, but has not yet commenced mining operations and remains dependent on external financing to reach construction. Its primary near-term focus is securing project financing — including a potential EXIM Bank loan of up to $800 million — and updating the feasibility study to support that process.

NioCorp, through its majority-owned subsidiary Elk Creek Resources Corp. (ECRC), is developing a critical minerals project that, if and when developed, will produce niobium, scandium, titanium, and potentially, rare earth products. Known as the 'Elk Creek Project,' it is located near Elk Creek, Nebraska, in the southeast portion of the state. Niobium is used to produce various superalloys that are extensively used in high performance aircraft and jet turbines. It also is used in high-strength, low-alloy steel, a stronger steel used in automobiles, bridges, structural systems, buildings, pipelines, and other applications that generally enables those applications to be stronger and lighter in mass. Scandium can be combined with aluminum to make super-high-performance alloys with increased strength and improved corrosion resistance. Scandium also is a critical component of advanced solid oxide fuel cells, an environmentally preferred technology for high-reliability, distributed electricity generation. Titanium is a component of various superalloys and other applications that are used for aerospace applications, weapons systems, protective armor, medical implants and many others. Rare earth elements are critical minerals that are needed in virtually all U.S. defense systems and across the electronics, manufacturing, high-technology, transportation, and energy sectors. The Company's primary business strategy is to advance the Elk Creek Project to commercial production. NioCorp is focused on carrying out near-term planned work programs associated with securing the project financing necessary to complete detailed design, development, and construction of the Elk Creek Project, as well as the commencement of early elements of project construction.
